| 《国际商事合同通则》在2011年新版修订完成，对照我国《合同法》，不难发现《合同法》中存在着大量的滞后与不足的规定，在寻找二者的异同之处，探寻差异存在的深层次原因中，深感我国《合同法》存在漏洞，已不能适应现代经济发展的需要。基于此，为了顺应“一带一路”的积极发展，《合同法》应依据国际上普遍接受的标准为立法精神，承认《通则》作为准据法的事实，借鉴、移植《通则》中可以为我国《合同法》适用的规则，细化司法解释。同时，需要将重构的《合同法》作为基础，进一步来满足“一带一路”背景下的法律全球化要求，增强我国司法实践的国际公信力。 |

| According to China's "Contract Law", it is not difficult to find that there are a lot of lagging behind and deficient provisions in the Contract Law. In the search for the difference between the Principles of International Commercial Contracts and the Contract Law, this paper finds that China's "Contract Law" can not meet the needs of modern economic development. Based on this, in order to comply with the positive development of "One Belt One Road" strategy, the "Contract Law" should be based on the internationally accepted standards as the spirit of legislation, should accept the "General Principle", have more professional reference, practice applicable rules and refine the judicial interpretation. At the same time, we need to reconstruct the "contract law" to further meet the "One Belt One Road" background. |
