| 近几年来，股权众筹在我国迅速发展壮大，其作为一种新型股权融资方式，主要定位于初创型、小微型企业的直接融资。股权众筹不仅给我国小微企业融资难的问题提供一条崭新的道路，还有利于激发我国的市场活力。但是股权众筹在带来便利的同时，也带来了很多问题，其中最主要的就是投资者利益保护问题。虽然目前我国也出台了一些规定，但是该规定并不完善，在实践中也经常发生投资者遭受欺诈的现象。因此股权众筹应当以保护投资者为中心，为此应当借鉴国外立法的成功经验，并结合自身国情，建立适用于我国的完善的投资者保护机制。 |

| In recent years, the stock raising has grown rapidly in China. As a new type of equity financing, it mainly locates in the direct financing of start-ups, small and micro enterprises. Raising all the shares not only provides a new road to the financing difficulties of small and micro enterprises in China, but also helps to stimulate the vitality of our market. However, all the shares raised in the convenience of the same time, but also brought a lot of problems, of which the most important thing is the protection of investors' interests. Although some regulations have been issued in our country, the regulation is not perfect, and investors often suffer fraud in practice. Therefore, all investors should focus on the protection of investors. Therefore, we should draw on the successful experience of foreign legislation, and establish a perfect investor protection mechanism based on our own national conditions. |
